Terms of Use

1. Description of Service

CyberGrade is a software-as-a-service platform that assesses the cybersecurity posture of small businesses. The Service provides: a questionnaire-based security assessment covering password security, data backup, device security, email security, network security, access control, and policies; a deterministic overall security score and letter grade (A+ to F); and an AI-generated remediation plan with prioritized action items. The Service is informational in nature and does not constitute professional cybersecurity consulting or a formal security audit.

2. Account Registration

To use certain features of the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration and keep your account information current. You must notify us immediately of any unauthorized use of your account.

3. Free Scan and Subscriptions

The Quick Scan (10-question assessment) is available free of charge with no account required. Free accounts are limited to one lifetime assessment. Ongoing monitoring, detailed re-assessments, and the full 33-question assessment require a paid subscription. Subscription plans and pricing are listed on our pricing page. All payments are processed by Stripe and are subject to Stripe's terms of service. New subscriptions receive a 14-day free trial; a valid payment method is required at signup. Subscriptions renew automatically on a monthly basis unless canceled before the renewal date. You may cancel your subscription at any time through the dashboard settings. Cancellation takes effect at the end of the current billing period.

4. Acceptable Use

You agree to use the Service only for lawful business purposes. You may not: submit false or misleading information in the assessment questionnaire; attempt to gain unauthorized access to other users' accounts or our systems; use automated tools to scrape, crawl, or extract data from the Service beyond its intended use; resell or redistribute assessment results or reports without our written consent; or violate any applicable local, state, national, or international law.

5. AI-Generated Content and Informational Nature

The Service uses artificial intelligence (Anthropic's Claude API) to generate security summaries, risk analyses, and remediation recommendations. You acknowledge that: AI-generated content is for informational purposes only and should not be treated as a substitute for professional cybersecurity advice or a formal security audit; security scores and grades are based solely on your self-reported answers; we make no guarantee that following the remediation recommendations will prevent a security incident; and AI outputs may occasionally be inaccurate or not fully aligned with your specific situation.

6. Intellectual Property

The Service, including its software, design, and documentation, is owned by Epoche Technical Solutions, LLC and is protected by intellectual property laws. You retain ownership of your assessment answers and business information. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service. This license terminates when you delete your account.

7. Limitation of Liability

To the maximum extent permitted by law, Epoche Technical Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or damages arising from a security incident that occurs despite using the Service. Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Security assessments are based on self-reported information and do not guarantee discovery of all security vulnerabilities.

9. Indemnification

You agree to indemnify and hold harmless Epoche Technical Solutions, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine is harmful to the Service or other users. You may terminate your account at any time through Settings > Danger Zone. Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 9, and 11 survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Collin County, Texas. You consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
